Earlier this week, chapter members received a poll requesting your vote to approve our new bylaws. The bylaws needed to be changed to conform with recent changes to the CSI National bylaws. The bulk of the changes are verbal and technical alignments with CSI National's modifications to terminology, and do not substantively change the way our chapter functions.
There were a few inclusions and omissions to CSI National bylaws that are reflected in our revised bylaws. They include indemnification of board members and other authorized agents of the chapter, simplification of procedures for chapter elections, and elimination of provisions for a student affiliate chapter and other similar obsolete provisions.
The current chapter board took advantage of this required change to our bylaws to include some structural changes to the chapter's governance. These changes streamline managing the chapter and allow it to better respond to changing conditions
1. The term for President and President-Elect has been changed from one-year to two-years. Our chapter has had de facto two-year terms since the beginning of the Covid era, with Past-Presidents Joel Kerschen and Drew Harris, and current President Derek Maschek all serving two consecutive one-year terms as president. President-Elect David Charles is in his second consecutive term as president-elect, and if the new bylaws are approved, will begin the chapter's first two-year president term on July 1, 2026.
2. The positions of First and Second Vice Presidents have been abolished. The board felt that the new two-year term model provides sufficient long-term management continuity.
3. The number of chapter Directors has been reduced to four from six, bringing the total number of board members to 9 from 13. The streamlined board reduces the required quorum to 5 from 7, making it easier to effectuate chapter business at each monthly meeting.
